These Terms and Conditions govern your access to and use of the Neuvra Systems website, its content, and any public demonstrations linked or made available through it. By accessing or using the website or a demonstration, you agree to these Terms. If you do not agree, do not use them.
1. Website purpose
This website provides general information about Neuvra Systems, its capabilities, and examples of systems it has designed or developed. Website content is not a binding proposal, promise, professional recommendation, or guarantee that Neuvra will accept or complete any particular project.
2. No client relationship
Submitting a contact form, calling Neuvra, discussing an idea, or using a public demonstration does not create a client, advisory, fiduciary, or other professional relationship. Any paid services must be described in a separate written agreement signed or otherwise accepted by Neuvra and the client.
Project scope, pricing, deposits, payment schedules, expenses, taxes, delivery dates, acceptance, warranties, maintenance, support, confidentiality, data processing, intellectual-property ownership, licenses, and cancellation terms will be governed only by that separate agreement. If these Terms conflict with a signed client agreement, the signed client agreement controls for that project.
3. Public demonstrations
Public demonstrations are provided only to illustrate possible features, workflows, and design approaches. Unless clearly stated otherwise, demonstration names, businesses, people, addresses, transactions, financial figures, and records are fictional or sample information.
Do not enter real personal, confidential, financial, medical, regulated, proprietary, or production information into a public demonstration. Demonstrations may be changed, reset, suspended, or discontinued at any time. They are not production systems and should not be relied on for business, legal, financial, regulatory, safety, or operational decisions.
4. Permitted use
You may view the website and use public demonstrations for lawful evaluation of Neuvra and its services. You may not:
- Attempt to gain unauthorized access to the website, demonstrations, accounts, code, systems, or networks.
- Probe, scan, disrupt, overload, damage, or interfere with the operation or security of the website or a demonstration.
- Copy, sell, sublicense, distribute, frame, mirror, scrape, or commercially exploit website or demonstration content without written permission.
- Reverse engineer, decompile, extract source code, bypass access controls, or use automated means to reproduce or replicate a demonstration.
- Use the website or a demonstration to violate law, infringe another person's rights, transmit malicious code, or submit unlawful or harmful material.
- Misrepresent an affiliation with or endorsement by Neuvra.
5. Intellectual property
The website, demonstrations, software, interfaces, designs, text, graphics, logos, images, videos, workflows, and other materials made available by Neuvra are owned by or licensed to Neuvra and are protected by applicable intellectual-property laws. Except for the limited right to view and evaluate them under these Terms, no ownership, license, or other right is granted to you.
Customer ownership and licensing rights in work created for a paid project will be determined exclusively by the applicable signed client agreement and will not be determined by these website Terms.
6. Information and feedback you submit
You represent that you have the right to submit any information you provide and that doing so does not violate another person's rights or obligations. Neuvra may use contact information and project details you submit to respond to you, evaluate a possible engagement, and maintain reasonable business records as described in the Privacy Statement.
If you voluntarily provide general comments or suggestions about the website or a public demonstration, Neuvra may use that feedback without restriction or payment. This does not give Neuvra ownership of your confidential business information or a project idea disclosed under a separate confidentiality agreement.
7. Third-party services and links
The website and demonstrations may link to or depend on third-party websites, hosting platforms, integrations, software, or services. Those third parties have their own terms and privacy practices. Neuvra does not control and is not responsible for third-party availability, content, security, or practices. A reference or link does not imply sponsorship or endorsement unless expressly stated.
Third-party names and trademarks belong to their respective owners. Their appearance does not imply that Neuvra is affiliated with or endorsed by them.
8. Results and informational disclaimers
Examples, case studies, and reported results describe particular circumstances and do not guarantee that another project will achieve the same outcome. Technology, automation, and artificial-intelligence systems can contain errors, experience interruptions, or produce incomplete or inaccurate results. Appropriate human review remains necessary.

8A. Nia — Neuvra AI Assistant
Nia uses artificial intelligence to provide general information, ask discovery questions, and help visitors contact Neuvra. Its responses may be incomplete, inaccurate, or unsuitable for a particular project. The assistant cannot provide a binding price, deadline, guarantee, legal conclusion, security commitment, or project acceptance.
Do not submit passwords, payment information, regulated data, or other sensitive information through the assistant. A signed project agreement, proposal, statement of work, and approved change orders control over any assistant response. Neuvra may review submitted questions and conversation records to respond to inquiries, prevent misuse, and improve owner-approved answers.
9. Availability and changes
Neuvra may change, suspend, restrict, or discontinue any portion of the website or a public demonstration at any time. Neuvra does not promise uninterrupted, secure, current, or error-free access.
10. Disclaimer of warranties
To the fullest extent permitted by law, the website, its content, and public demonstrations are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or availability.
11. Limitation of liability
To the fullest extent permitted by law, Neuvra and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business opportunities, or goodwill arising from or related to use of or inability to use the website or a public demonstration.
To the fullest extent permitted by law, Neuvra's total liability for claims arising solely from use of the website or a public demonstration will not exceed one hundred U.S. dollars ($100). These limitations do not apply where applicable law prohibits them.
12. Responsibility for misuse
You are responsible for your use of the website and demonstrations. To the fullest extent permitted by law, you agree to defend, indemnify, and hold Neuvra and its owners, officers, employees, contractors, and agents harmless from third-party claims, losses, liabilities, and reasonable expenses resulting from your unlawful use, your violation of these Terms, or your infringement of another person's rights.
13. International and restricted use
You are responsible for complying with laws applicable where you access the website or a demonstration. You may not use them in violation of United States export-control, sanctions, or other applicable laws.
14. Governing law and venue
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute relating solely to these Terms, the website, or a public demonstration must be brought in a state or federal court with jurisdiction in Lorain County, Ohio, unless applicable law requires otherwise.
15. Changes to these Terms
Neuvra may update these Terms by posting a revised version and changing the effective date. Changes apply prospectively when posted. Your continued use after an update means you accept the revised Terms.
16. General provisions
If any provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. Neuvra's failure to enforce a provision is not a waiver of its right to do so later. These Terms and the Privacy Statement are the entire agreement regarding use of the public website and demonstrations, except where a separate signed agreement applies.
